Terms of Service

1.General Information

These Terms of Service (“Terms”) govern access to and use of the Liaison platform (liaisone.com), operated by Drum Class S.R.L., Via San Giovanni Bosco 4, Milan, Italy.

2.Scope of Services

Liaison is a B2B marketing platform providing an AI agent (Lia) that delivers marketing analytics, CRM integrations, advertising performance insights and attribution metrics, and that can execute advertising operations (such as budget changes or launching ads) upon the user’s explicit confirmation.

3.Account Registration

Users must register or authenticate via supported providers and ensure lawful authority over connected accounts.

4.Fees, Billing and Cancellation

The Platform is offered on a free plan and on paid plans. The plans available and the price of each are published on the pricing page, which forms part of these Terms; prices are stated there rather than here so that the price a user agrees to is the one they were shown when they subscribed.

Paid plans are subscriptions billed in advance for each subscription period, and they renew automatically for further periods of the same length until cancelled. By subscribing, the user authorises the Company to charge the payment method provided for each renewal.

Payments are processed by Stripe as the Company's payment provider. The Company does not receive or store full card details. An invoice is issued for each payment and is available to the user from the billing section of their account.

A subscription may be cancelled by the user at any time from the billing section of their account. Cancellation takes effect at the end of the subscription period that has already been paid for: access to the paid plan continues until that date, and no further charge is made after it.

If a payment fails, the subscription enters a past-due state and the Company may, after attempting to collect, suspend access to paid features until the outstanding amount is settled. The account itself and the data in it are not deleted for non-payment; the rules on termination in section 10 apply instead.

AI usage on every plan, the free one included, is subject to fair-use budgets that reset on rolling windows; the allocation currently applying to an account is shown on its Usage screen.

Where the Company changes the price of a plan, the change applies from the user's next subscription period and users on that plan are notified in advance by email. A user who does not accept the new price may cancel before it takes effect, as set out above.

5.Data Access & Integrations

By connecting external platforms, users authorize access to advertising, CRM, and lead metadata strictly within granted permissions.

6.Access via AI Assistants (Model Context Protocol)

Users may access the Platform through AI assistants that connect to the Liaison Model Context Protocol (MCP) server (including but not limited to Anthropic Claude and OpenAI ChatGPT) via an OAuth 2.0 session that the user explicitly authorizes. Use of the Platform through any such assistant is subject to these Terms and to the Privacy Policy in the same way as direct access through the web app. The user remains responsible for the AI assistant they choose to authorize and for the conduct of that assistant within their session.

Liaison is not affiliated with, endorsed by, or sponsored by any AI provider; the AI provider's own terms and privacy policy govern its services. The Company does not use data accessed via MCP to train any AI model, and exposes only read-only tools to AI assistants through the MCP server. Advertising operations are available exclusively inside the Liaison web application, each upon the user’s explicit confirmation.

7.Data Ownership

All processed data remains the property of the user or the original provider. The Company does not resell or redistribute data.

8.Webhooks & Historical Data

The Platform processes both historical and real-time data when legally available. Availability depends on third-party APIs.

9.Limitations of Liability

The Platform is provided “as is”. The Company is not liable for third-party data inaccuracies or resulting business decisions. Advertising operations are executed only upon the user’s explicit confirmation; the user is responsible for reviewing each confirmation before applying it, and for the outcomes of confirmed operations executed through their connected accounts.

10.Suspension & Termination

Access may be suspended in case of violations or revoked permissions. Users may terminate accounts at any time.

11.Governing Law

These Terms are governed by Italian law and applicable EU regulations.
